Rivoli PDF License v1.0

"Licensor" means Rivoli AI.

"Software" means the Rivoli PDF library, distributed as the Rivoli.Pdf, Rivoli.Pdf.Core, and Rivoli.Pdf.Html packages, and any updates provided under this license.

"You" means the individual or organization exercising the rights granted by this license. For an organization, "You" includes all entities that control, are controlled by, or are under common control with that organization.

"Gross Revenue" means total worldwide revenue of You and your affiliates for the most recent twelve-month period, before deduction of any costs or taxes.

"Qualifying User" means either (a) a natural person using the Software in an individual capacity, or (b) an organization whose Gross Revenue is less than one million United States dollars (USD 1,000,000).

"Your Application" means a software product or service developed by You whose primary purpose is not to provide the functionality of the Software itself.

The Software is source-available, not open source. Rivoli AI retains all rights in the Software except those expressly granted.

If You are a Qualifying User, Rivoli AI grants You a worldwide, royalty-free, non-exclusive, non-transferable, non-sublicensable license to (a) install and run the Software; (b) reference the Software as a dependency of Your Application; and (c) distribute the Software in unmodified, compiled form solely as an integrated component of Your Application.

This grant is conditioned on Your continued status as a Qualifying User and on compliance with this license.

You may not distribute, publish, or otherwise make the Software available to third parties except as unmodified, compiled binaries integrated into Your Application (Section 2(c)).

You may not distribute the source code of the Software, or any modified version of it, in source or compiled form.

You may not create or distribute a fork of the Software or a derivative work that competes with, substitutes for, or republishes the Software.

You may not sublicense, rent, lease, or sell the Software on a stand-alone basis.

You may not remove or alter any copyright, license, or attribution notice contained in the Software.

You may modify the Software for Your own internal use and for use within Your Application, provided that any such modification remains subject to all terms of this license and is not distributed except as permitted by Section 2(c).

If You are an organization whose Gross Revenue is one million United States dollars (USD 1,000,000) or more, You require a commercial license from Rivoli AI to use the Software.

The commercial (Enterprise) license is sold per developer as a one-time, perpetual license — see the pricing on the product page. Contact licensing@rivoli.ai to obtain one or for any licensing question.

Rivoli AI does not enforce this requirement through technical means; compliance is your responsibility.

All rights not expressly granted are reserved by Rivoli AI. No rights are granted by implication, estoppel, or otherwise. The Software is licensed, not sold.

This license terminates automatically if You breach any of its terms, or if You cease to be a Qualifying User without obtaining a commercial license. On termination You must stop using and distributing the Software.

The definitions, restrictions, reservation of rights, warranty disclaimer, and limitation of liability survive termination.

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RIVOLI AI BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
